1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and NOVEXIAL ("Company", "we", "us", or "our") regarding your use of the HarmonySuite platform ("Service", "Platform", or "Application").

By accessing or using HarmonySuite, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Definitions

  • "Society" refers to the housing society, apartment complex, or community using the Platform.
  • "Tenant Admin" refers to authorized administrators of a Society with management privileges.
  • "Member" refers to residents, owners, or tenants of a Society using the Platform.
  • "Super Admin" refers to NOVEXIAL administrators with full platform access.
  • "User" includes all Tenant Admins, Members, and authorized users of the Platform.
  • "Personal Data" means any data relating to an identified or identifiable individual.

3. Eligibility

To use HarmonySuite, you must:

  • Be at least 18 years of age
  • Be a resident, owner, tenant, or authorized representative of a registered Society
  • Have legal capacity to enter into binding agreements
  • Provide accurate and complete registration information
  • Not be barred from using the Service under applicable laws

4. User Accounts & Registration

4.1 Account Creation:

  • You must create an account to access the Platform.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate, current, and complete information during registration.
  • You must notify us immediately of any unauthorized use of your account.

4.2 Account Security:

  • You are solely responsible for all activities under your account.
  • We are not liable for any loss or damage arising from unauthorized account access.
  • You must use strong passwords and enable two-factor authentication if available.

4.3 Account Termination:

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

5. User Roles & Responsibilities

5.1 Tenant Admins:

  • Responsible for managing Society members, billing, expenses, and operations
  • Must ensure accurate and lawful use of member data
  • Must comply with all applicable laws and Society bylaws
  • Liable for actions taken on behalf of the Society

5.2 Members:

  • Responsible for keeping profile information accurate and up-to-date
  • Must use the Platform lawfully and respectfully
  • Must pay maintenance bills and fees on time
  • Must not misuse visitor management or complaint systems

6. Acceptable Use Policy

You agree NOT to:

  • Use the Platform for any illegal, fraudulent, or unauthorized purpose
  • Upload or transmit viruses, malware, or malicious code
  • Interfere with or disrupt the Platform's functionality or security
  • Attempt to gain unauthorized access to any part of the Platform
  • Scrape, harvest, or collect data from the Platform without permission
  • Impersonate another user or entity
  • Upload false, misleading, or defamatory content
  • Harass, abuse, or threaten other users
  • Violate any applicable laws, regulations, or third-party rights
  • Use the Platform to send spam or unsolicited communications

7. Payments & Billing

7.1 Subscription Fees:

Societies must subscribe to a plan (Starter, Growth, or Enterprise) to use the Platform. Fees are billed monthly, quarterly, or annually as per the chosen plan.

7.2 Maintenance Payments:

Members are responsible for paying maintenance bills generated by their Society through the Platform. Payment methods include bank transfer, UPI, online payment gateways, or other methods enabled by the Society.

7.3 Late Fees & Penalties:

Societies may configure late payment fees and interest charges as per their bylaws. Members agree to pay applicable late fees for overdue payments.

7.4 Refunds:

Subscription fees are generally non-refundable. Refunds for specific cases (e.g., service disruptions) are at our sole discretion.

8. Intellectual Property Rights

8.1 Our IP:

All content, features, functionality, design, software, and materials on the Platform are owned by NOVEXIAL and protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content:

You retain ownership of content you upload (e.g., photos, documents, complaints). By uploading content, you grant us a license to use, store, and display it for the purpose of providing the Service.

8.3 Restrictions:

You may not copy, modify, distribute, sell, or reverse engineer any part of the Platform without our express written permission.

9. Privacy & Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your personal data in compliance with the Digital Personal Data Protection Act, 2023.

10. Novexial Intelligence - AI-Powered Features Disclaimer

"Novexial Intelligence" is the proprietary branding of HarmonySuite's AI-powered features. It leverages advanced computational models, machine learning, and predictive algorithms to provide insights, recommendations, and automation assistance.

IMPORTANT: While Novexial Intelligence is designed to support decision-making and streamline processes, the results are for informational purposes only and do not constitute professional, legal, or financial advice. Users are responsible for verifying outcomes before taking any action based on these recommendations.

HarmonySuite and Novexial Limited do not guarantee accuracy, completeness, or reliability of the outputs generated by Novexial Intelligence. By using this application, you acknowledge and accept that Novexial Intelligence is a supportive tool and that final decisions remain with the user.

Novexial Intelligence features include but are not limited to: vendor discovery, document generation, bill processing, and other AI-assisted functionalities. All outputs should be reviewed by qualified professionals before implementation.

11. General Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

  • We do not guarantee uninterrupted, error-free, or secure access to the Platform.
  • We are not responsible for the accuracy, completeness, or reliability of user-generated content.
  • We do not endorse or verify information posted by Societies or Members.
  • We are not liable for disputes between Societies and Members.
  • We are not responsible for payment failures due to bank or payment gateway issues.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVEXIAL SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from unauthorized access to your account
  • Damages caused by third-party service failures (e.g., payment gateways, cloud providers)
  • Damages exceeding the subscription fees paid by you in the last 12 months

13. Indemnification

You agree to indemnify, defend, and hold harmless NOVEXIAL, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

14. Termination

13.1 By You:

You may terminate your account at any time through account settings or by contacting us.

13.2 By Us:

We may suspend or terminate your access immediately if you violate these Terms, engage in illegal activities, or fail to pay subscription fees.

13.3 Effect of Termination:

Upon termination, your right to use the Platform ceases immediately. We may delete your data as per our data retention policy, subject to legal requirements.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Pune, India.

We encourage you to contact us first to resolve any disputes amicably before pursuing legal action.

16. Changes to Terms

We may update these Terms from time to time. Significant changes will be notified via email or prominent notice on the Platform. Your continued use after such changes constitutes acceptance of the updated Terms.
